Terms of Service

These terms are an agreement between you and TechSpark Development LLC ("Tendrly", "we"). By creating an account you agree to them. The short version: use the service honestly, you own your content, we own the platform, and payments between you and your clients are yours — we just make them easy.
The service
Tendrly generates, hosts, and delivers business proposals with built-in payment collection through Stripe. We may add, change, or retire features over time.
Your account
- You must provide accurate information and keep your credentials secure.
- You are responsible for activity on your account.
- You must be able to form a binding contract to use the service.
Payments between you and your clients
- Client payments are processed by Stripe into your connected Stripe account. Stripe's terms apply to your use of Stripe.
- The contract for the underlying work is between you and your client. Tendrly is not a party to it and does not guarantee client payment, mediate disputes, or provide refunds on your behalf.
- A platform fee is deducted from each paid proposal at the rate for your plan, shown on the pricing page and current at the time of payment. That rate is all-inclusive: card processing is covered by it, and Stripe does not bill you separately for it.
Subscriptions
- Paid plans bill monthly through Stripe and renew automatically until cancelled.
- You can upgrade, downgrade, or cancel any time from Billing; changes are prorated by Stripe where applicable.
- We may change pricing with notice; changes apply from your next billing cycle.
Your content
You own the proposals, logos, and content you create. You grant us the license needed to host, display, and deliver them (that is the product). You are responsible for having the rights to what you upload and for the accuracy of proposals you send. AI-generated drafts are suggestions — review them before sending.
Acceptable use
No illegal activity, fraud, spam, infringing content, or attempts to break or overload the service. We may suspend accounts that put the platform or other users at risk.
No responsibility for your client relationships
Tendrly is a tool you use to create proposals and collect payments. We are not a party to any agreement, project, or transaction between you and your clients. We do not review, endorse, or guarantee the proposals you send, the work you deliver, or the accuracy of anything you enter. You alone are responsible for:
- The content, pricing, and legality of every proposal you create and send;
- Delivering the work your clients pay for, and resolving any dispute, refund request, or chargeback with them directly;
- Your own tax, invoicing, and regulatory obligations;
- Having the rights to any logo, text, or material you upload.
Payments are processed by Stripe into your own connected account. Disputes and chargebacks are handled between you, your client, and Stripe under Stripe's terms — Tendrly does not hold your funds and cannot issue refunds on your behalf.
Disclaimers and limitation of liability
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated text will be accurate or suitable — you must review it before sending.
To the maximum extent permitted by law, TechSpark Development LLC and its officers, members, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, or for the acts or omissions of your clients. Our total aggregate liability for any and all claims arising out of or relating to the service is limited to the greater of (a) the fees you paid us in the 12 months before the claim, or (b) US $100.
Indemnification
You agree to defend, indemnify, and hold harmless TechSpark Development LLC and its members, officers, and employees from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: your use of the service; the proposals, content, or work you create, send, or deliver; your dispute with any client; your breach of these terms; or your violation of any law or third-party right.
Governing law and disputes
These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules. You agree that any dispute arising out of or relating to these terms or the service will be resolved individually, and you waive any right to participate in a class or representative action. The courts located in the State of New York, USA will have exclusive jurisdiction, and you consent to venue there. Nothing here prevents either party from seeking injunctive relief for misuse of the service or intellectual property.
Termination
You can delete your account at any time. We may suspend or terminate accounts that violate these terms. On termination, your hosted proposal pages stop being served; export anything you need first.
Changes
We may update these terms; material changes will be announced by email or in-app. Continued use after changes means acceptance.
